This Privacy Policy explains how Assistly collects, uses, discloses, retains, and protects Personal Information when you visit assistly.care, access assistly.live, use the Assistly platform, applications, portals, products, or related services, or otherwise interact with us (collectively, the “Services”).

This Privacy Policy applies to Assistly Care Inc., a Delaware corporation.

Depending on how you interact with Assistly and the Services, we may collect the following categories of information:

Resident, Client, and Care Information

When our customers use Assistly to manage their operations, the Services may process information relating to residents, clients, patients, caregivers, family members, employees, or other individuals, including:

• Care plans and care-related records
• Medication and clinical information
• Resident or client documentation
• Emergency contact and family information
• Scheduling and attendance information
• Notes, forms, documents, and other records entered into the Services

Some of this information may constitute health information, sensitive Personal Information, or Protected Health Information (“PHI”) under applicable law.

Billing and Transaction Information

We may process billing, payment, subscription, and transaction-related information necessary to provide and administer the Services.

We may collect information you provide when you contact us, request a demonstration, submit a form, communicate with customer support, or otherwise correspond with Assistly.

Information From Third Parties and Integrations

• Support scheduling, care management, documentation, billing, compliance, reporting, and other functionality requested by customers;

• Detect, investigate, and prevent fraud, misuse, security incidents, and unauthorized access;
• Maintain audit logs and system integrity;
• Improve functionality and user experience;
• Communicate service, security, administrative, and account information;

• Comply with legal and regulatory requirements;
• Establish, exercise, or defend legal rights; and
• Fulfill other purposes disclosed at the time information is collected or with appropriate authorization.

Assistly provides technology and services to organizations operating in the senior care and related healthcare industries.

Depending on the customer, Services, information involved, and Assistly’s role, Assistly may receive or process Protected Health Information subject to the Health Insurance Portability and Accountability Act (“HIPAA”) and the Health Information Technology for Economic and Clinical Health Act (“HITECH”).

Where HIPAA applies to Assistly’s activities, Assistly handles PHI in accordance with applicable legal requirements and applicable Business Associate Agreements.

Assistly maintains administrative, technical, and physical safeguards designed to protect PHI and other sensitive information.

When Assistly processes PHI or other Personal Information on behalf of a customer, the customer generally determines how that information is collected and used. Requests concerning records maintained by a healthcare provider, senior care facility, home care agency, or other Assistly customer may need to be directed to that organization.

Certain Assistly Services may use artificial intelligence, machine learning, automation, analytics, or similar technologies to assist with functions such as workflow automation, documentation, operational insights, reporting, care planning support, staffing, and compliance-related activities.

Information processed through these features is handled in accordance with this Privacy Policy, applicable customer agreements, and applicable law.

AI-generated information is intended to support users and organizational workflows and should not be considered a substitute for professional medical judgment, diagnosis, treatment, or other decisions that must be made by appropriately qualified professionals.

Assistly does not sell Personal Information for monetary consideration.

We may disclose Personal Information:

• To vendors and service providers that support hosting, infrastructure, communications, security, analytics, payment processing, customer support, and other business operations;
• To integrations or third-party services authorized by the customer or user;
• To the customer organization responsible for the relevant account or information;
• When required by law, regulation, subpoena, court order, or other valid legal process;
• When reasonably necessary to protect the rights, safety, security, or property of Assistly, our customers, users, or others;
• In connection with a merger, acquisition, financing, reorganization, sale of assets, or similar corporate transaction; and
• With your direction, authorization, or consent.

Service providers receiving Personal Information from Assistly are expected to process information only for authorized purposes and subject to applicable contractual and legal obligations.

Assistly may use cookies and similar technologies to operate the Site and Services, maintain sessions, remember preferences, understand use of our Site, improve performance, and protect against fraud or unauthorized activity.

Where required by applicable law, we will provide appropriate choices regarding non-essential cookies and similar technologies.

Browser-based privacy signals and opt-out preference mechanisms will be handled as required by applicable law where technically applicable to our Site and Services.

You may opt out of marketing emails from Assistly by using the unsubscribe mechanism contained in the communication or by contacting us.

Opting out of marketing communications does not prevent Assistly from sending necessary transactional, security, account, service, or administrative communications.

Assistly maintains reasonable administrative, technical, and physical safeguards designed to protect Personal Information against unauthorized access, disclosure, alteration, destruction, or misuse.

Depending on the applicable system and information, safeguards may include encryption, authentication controls, role-based access, logging and monitoring, network and infrastructure protections, access restrictions, security procedures, and workforce training.

No method of transmission or storage is completely secure, and therefore we cannot guarantee absolute security.

Assistly retains Personal Information for as long as reasonably necessary to:

• Provide the Services;
• Maintain customer accounts;
• Fulfill contractual obligations;
• Comply with legal and regulatory requirements;
• Maintain required business and security records;
• Resolve disputes; and
• Establish, exercise, or defend legal claims.

Retention periods may vary depending on the type of information, our role, customer instructions, contractual requirements, and applicable law.

When Personal Information is no longer required, it may be deleted, de-identified, or anonymized in accordance with applicable requirements.

Assistly frequently processes Personal Information on behalf of senior care providers, facilities, agencies, and other customer organizations.

In these circumstances, the customer organization may be the business, controller, covered entity, or other organization responsible for determining how and why Personal Information is processed, while Assistly acts as a service provider, processor, business associate, or similar role.

If your information was submitted to Assistly by one of our customers, you may need to contact that organization directly to exercise rights relating to your information. Assistly will assist its customers as required by applicable law and contractual obligations.

Depending on your state of residence and applicable law, you may have certain rights regarding your Personal Information, which may include the right to:

• Confirm whether we process your Personal Information;
• Request access to Personal Information;
• Request information about categories or specific pieces of Personal Information collected about you;
• Request correction of inaccurate Personal Information;
• Request deletion of Personal Information, subject to applicable exceptions;
• Obtain certain Personal Information in a portable format;
• Opt out of certain sales, sharing, targeted advertising, or profiling where applicable;
• Limit certain uses or disclosures of sensitive Personal Information where applicable;

We may request additional information when reasonably necessary to verify your identity or authority to submit the request.

Where permitted by applicable law, an authorized agent may submit a request on your behalf. We may request verification of the agent’s authority and/or verification directly from you.

If applicable law provides a right to appeal a decision concerning your request, you may submit an appeal using the contact information above and identify the communication as a “Privacy Request Appeal.”

California residents may have additional rights under applicable California privacy laws, including rights concerning access, deletion, correction, disclosure of certain information, and certain opt-out or limitation rights.

Assistly does not sell Personal Information for monetary consideration.

Where California law requires Assistly to recognize additional rights concerning the sale or sharing of Personal Information, targeted or cross-context behavioral advertising, sensitive Personal Information, or legally recognized opt-out preference signals, Assistly will honor such rights as required by applicable law.

California residents may submit requests using the methods described in Section 11.

Nothing in this section limits rights available under applicable California law.

Some browsers offer a “Do Not Track” (“DNT”) setting. Because there is not a uniform industry standard governing traditional DNT signals, our response to such signals may vary.

Where applicable law requires recognition of a browser-based opt-out preference signal, such as Global Privacy Control (“GPC”), Assistly will process supported signals as required by applicable law.

Assistly’s Site and Services are not directed to children for their independent personal use, and we do not knowingly solicit Personal Information directly from children through the public-facing Site.

The Services may contain information relating to minors when that information is lawfully provided and managed by an authorized customer organization in connection with care or other permitted services.

If we learn that Personal Information was collected directly from a child through our public-facing Site in a manner inconsistent with applicable law, we will take appropriate steps to address it.

The Site or Services may contain links to, integrate with, or permit access to third-party websites, applications, or services.

Assistly is not responsible for the privacy practices of independent third parties. We encourage users to review the applicable privacy notices of third-party services before providing information to them.

Personal Information may be processed or stored in jurisdictions other than the jurisdiction in which it was originally collected.

Where required, Assistly will use appropriate safeguards for cross-border transfers and processing in accordance with applicable law and contractual requirements.

We may update this Privacy Policy from time to time to reflect changes to our Services, technology, business practices, or applicable legal requirements.

When we update this Policy, we will revise the “Last Updated” date above. Where required by applicable law, we will provide additional notice regarding material changes.
